TERMS OF SERVICE

Welcome to Univaens.com.
These Terms of Service ("Terms") govern your access to and use of the Univaens website and its available services, operated by Univaens, Inc. ("Univaens," "we," "us," or "our"), a corporation incorporated in Delaware, United States.
Univaens is developing an interactive entertainment platform designed to connect fictional Universes, films, series, games, digital collectibles, communities, and interactive experiences.
These Terms explain how our website, community crowdfunding program, supporter rewards, referral activities, investor inquiries, and related services operate.
By completing a transaction, submitting a form that requires acceptance of these Terms, or using a service subject to these Terms, you agree to the applicable conditions, subject to applicable law.
1. ABOUT UNIVAENS
Univaens is an entertainment technology company developing a platform where fictional Universes become connected entertainment ecosystems.
Our first original intellectual property, Cyber Bite Vampires, is currently in development.
Through Univaens.com, visitors can explore our vision, follow development progress, join our community, financially support our projects, unlock eligible supporter rewards, and review information about potential investment opportunities.
Our production entertainment platform has not yet publicly launched. Features described as planned or in development are not currently available unless expressly stated otherwise.
2. WEBSITE ACCESS AND ELIGIBILITY
Visitors may access publicly available information on Univaens.com without registering an account.
Financial contributions and investment inquiries are intended for individuals aged 18 or older who have the legal capacity to participate in the relevant activities.
A Univaens platform account is not currently required to contribute through our supporter program. Payment confirmations and relevant reward information may be provided through the email address submitted at checkout.
Certain future digital rewards may require registration, account verification, or linking eligible contributions to a Univaens account when the production platform becomes available.
Users agree to provide accurate information and to use our website and related services lawfully.
Fraud, impersonation, unauthorized access, malicious interference, harassment, and other unlawful activities are prohibited.
3. COMMUNITY CROWDFUNDING
Univaens operates a reward-based crowdfunding program through which individuals may financially support the development of our platform and original entertainment projects.
Eligible contributions start at $1.
Supporter Pack reward tiers begin at $10 and extend through the published thresholds described in our Reward Terms.
Contributions may be used for platform development, engineering, creative production, infrastructure, personnel, operations, community growth, and other business expenses associated with our projects.
Community contributions are not charitable donations or investments.
They do not provide shares, equity ownership, voting rights, entitlement to company profits, or guaranteed financial returns.
Making a contribution does not guarantee the completion of the entire Univaens platform, achievement of our fundraising goal, or any particular commercial outcome.
However, Univaens remains responsible for accepted reward commitments under the applicable purchase terms and law.
4. CUMULATIVE SUPPORTER REWARDS
Univaens uses a cumulative contribution system rather than requiring supporters to purchase each reward tier separately.
Eligible contributions submitted using the same checkout email are combined toward the supporter's cumulative total.
As cumulative contributions reach published thresholds, the supporter qualifies for the corresponding rewards, subject to applicable eligibility requirements and availability limitations.
Each reward tier can be unlocked only once per eligible supporter. Additional contributions increase progress toward higher tiers but do not duplicate previously unlocked rewards.
Qualifying rewards may include:
- UniShards and UniCard-related benefits.
- Exclusive Genesis UniCards.
- Achievements and themed profile cosmetics.
- Discord roles and posting access to themed community channels.
- Early access to selected Cyber Bite Vampires development materials.
- Limited creative collaboration opportunities.
Certain rewards have additional conditions, limitations, or fulfillment requirements.
The complete reward structure, including cumulative thresholds, Genesis UniCard limitations, and creative reward conditions, is governed by our Reward Terms and the applicable reward descriptions presented before payment.
5. DISCORD COMMUNITY BENEFITS
Eligible supporters may receive Discord roles and posting access to themed community channels associated with their cumulative contribution levels.
Tier-specific channels are visible and readable by every member of the Univaens Discord server. Posting in a tier-specific channel requires the corresponding Supporter Pack role. These are role-restricted discussion channels, not private or hidden channels.
Discord benefits are cumulative. Reaching a higher reward tier may unlock the qualifying roles and channels associated with previously reached tiers.
To receive automated role assignments where available, supporters should join the official Univaens Discord server and provide their exact Discord username, without the @ symbol, during checkout.
Role assignment depends on successful payment verification, account matching, and the availability of the corresponding integration.
Supporters experiencing difficulties with eligible Discord rewards may contact Univaens for assistance.
Discord participation is subject to our applicable community guidelines and Discord's own terms.
Community access may be restricted in cases involving serious misconduct, fraudulent activity, refunded transactions, or other violations, subject to applicable purchase terms and law.
Univaens may also run free community giveaways on its Discord server. No purchase or financial contribution is required to take part, all members of the server may participate, and winners are selected randomly by a bot. Giveaway prizes are separate from Supporter Pack rewards and Community Unlock rewards.
6. DIGITAL REWARDS AND FUTURE DELIVERY
Certain supporter benefits may be provided during development, while others depend on the availability of future platform features or completed creative content.
Future rewards may include UniShards, Genesis UniCards, achievements, profile cosmetics, referral and creator Tickets, and experiences associated with Cyber Bite Vampires.
Univaens will maintain relevant records of qualifying contributions and accepted reward entitlements to support verification and fulfillment.
Supporters may need to register or verify a Univaens account when the corresponding digital reward systems become available.
Estimated development schedules, preliminary artwork, interfaces, and technical implementations may evolve during production.
Changes to preliminary development materials do not automatically remove accepted reward commitments.
Material changes affecting fulfillment will be addressed under our Reward Terms, Refund Policy, and applicable law.
7. LIMITED CREATIVE COLLABORATIONS
Certain high-value supporter tiers include opportunities to collaborate with the Univaens creative team on official Cyber Bite Vampires content.
The $15,000 and $20,000 creative rewards each have their own independent limit.
The $15,000 tier is limited to five supporters and includes collaboration on two canonical outfits for Dorothy Ashborn and Evolis Morvain, together with an additional personalized Genesis UniCard illustrated by a Univaens artist in the modern Cyber Bite Vampires style.
The $20,000 tier is limited to three supporters and includes the same collaboration on two outfits, an additional personalized Genesis UniCard (same as the $15,000 tier), and the opportunity to create one original Cyber Bite Vampires character. Personalized portraits and original character artwork are produced by the Univaens creative team, and no creative reward includes a personal illustration commission from Elmar Ahmadov. It remains available even when the $15,000 creative spots have been claimed.
The personalized Genesis UniCard is an additional reward and never replaces any other Genesis UniCard.
Creative spots are assigned in the order that verified payments reach each threshold, based on cumulative contributions made with the same checkout email. A supporter who already holds a $15,000 spot may upgrade to the $20,000 creative rewards while a $20,000 spot remains available, keeping the original card and outfit collaborations without duplicates. Claimed spots are not reopened, including following refunds.
When a creative reward is unavailable, only that reward is affected. Supporters may still contribute any amount and receive all other eligible rewards.
Creative participation is subject to payment verification, availability and confirmation by Univaens, final creative approval, and any necessary written intellectual property agreements. It does not grant unrestricted control over the characters, story, artistic direction, or production decisions.
Approved outfit designs and original characters will become official parts of the Cyber Bite Vampires Universe.
An approved character created through the $20,000 reward will be included in the official Universe and featured in the World → Characters section.
The character's specific narrative role, importance, screen time, dialogue, and potential appearance in future productions remain subject to creative decisions. No particular narrative role or appearance in a specific animated production is guaranteed.
Additional limitations and fulfillment conditions are described in our Reward Terms.
8. REFERRAL REWARDS
Univaens offers an ongoing referral rewards program for eligible community supporters.
A referring supporter who has contributed at least $1 may qualify for rewards when an invited supporter contributes at least $5 and completes the required referral verification process.
For each approved qualifying referral, the referring supporter receives:
5 Standard Tickets and 5 Event Tickets.
Referral claims are submitted through the official Referral Rewards form using the requested verification information, including the checkout email addresses of both participants.
Referral claims may be reviewed manually to verify qualifying contributions and prevent fraud, duplicate claims, or self-referrals.
Each invited supporter may qualify as a referral only once.
Refunded or reversed qualifying contributions, fraudulent submissions, and investment referrals are excluded.
Approved Tickets become redeemable when the corresponding UniCards features launch.
The referral program is separate from our first-month Community Unlock promotion and is not limited to that promotional period.

9. CONTENT CREATOR REWARDS
Univaens may offer a Content Creator Rewards program for creators who publish original content about Cyber Bite Vampires and Univaens on YouTube, TikTok, and Twitch.
During the Pre-Seed stage, creators who meet the published requirements for a platform and pass manual verification may receive Event Tickets, Standard Tickets, and exclusive Creator Genesis UniCards, as described in our Reward Terms. Submitting an application does not guarantee approval.
Creators must submit accurate information and original content, must not use artificial engagement or manipulated analytics, and are responsible for complying with applicable platform policies and advertising disclosure requirements.
Approved creator rewards are not issued automatically and will become available when the corresponding Univaens platform features launch. Creator rewards have no guaranteed resale or monetary value. The program may continue after launch with new rewards under separately announced rules, and founding-era editions will not be reissued.
10. FREE COMMUNITY UNLOCKS
Univaens plans to offer promotional Community Unlock rewards tied to eligible fundraising milestones.
These rewards are separate from paid Supporter Pack benefits and referral rewards.
No purchase or financial contribution is required to qualify.
All ten Community Unlock milestones, up to the $3.5M funding goal, are free Community Unlocks and are not Supporter Pack rewards.
During the first month following the official Univaens platform launch, newly registered and verified eligible users may receive rewards associated with funding milestones that have been achieved.
Rewards are granted once per eligible account, subject to verification and anti-abuse requirements.
Only milestones whose published funding thresholds have been reached qualify for their respective rewards.
A funding milestone marked as funded does not mean that the corresponding development or production work has been completed.
Specific rewards and eligibility conditions will be communicated through the relevant promotional terms before the campaign begins.
11. FUTURE UNIVAENS PLATFORM SERVICES
The planned Univaens platform is intended to provide entertainment experiences associated with individual fictional Universes.
These may include:
- Films, series, and games.
- Detailed Universe exploration and lore.
- Individual content purchases, Universe bundles, and subscriptions where available.
- UniCards and related collectible systems.
- Seasonal UniPass progression.
- Digital cosmetics and merchandise.
- Marketplace functionality.
- Community activities and future fan-created content features.
UniPass is a seasonal progression and rewards system featuring Free and Premium tracks. It is separate from ordinary content subscriptions.
Content availability and access options may vary according to the relevant product, territory, distribution rights, or agreements with participating intellectual property owners.
Purchasing supporter rewards does not automatically grant access to future paid subscriptions, UniPass Premium, games, films, series, or other commercial products unless expressly stated in the applicable reward description.
Additional platform-specific terms may apply when these services become available.
12. COMMUNITY PARTICIPATION AND USER CONTENT
Univaens welcomes community participation, discussions, feedback, creative ideas, and engagement with our projects.
Participants are expected to communicate respectfully and comply with applicable community rules.
We may moderate community spaces and take proportionate action against harassment, impersonation, unlawful material, fraud, or other serious violations.
Users retain rights in their original contributions, subject to any applicable licenses, agreements, or third-party rights.
Submitting ideas, fanfiction, artwork, or other creative materials does not automatically transfer intellectual property ownership to Univaens.
Where Univaens seeks to display, adapt, publish, or incorporate submitted materials, the necessary permissions or agreements will apply.
Our planned Fanfiction and alternative-reality features may allow eligible published stories to exist as canonical alternative realities within a Universe's multiverse without altering its main storyline.
These planned features will be subject to publication rules, moderation, intellectual property requirements, and, for third-party Universes, the agreement of the relevant rights holders.
Detailed terms for these future creator-facing features will be provided before they become available.
13. INTELLECTUAL PROPERTY
Univaens and its applicable licensors retain their intellectual property rights in the Univaens platform, Cyber Bite Vampires, original characters, stories, artwork, trademarks, audiovisual materials, software, branding, and related content.
Visitors may access publicly available website materials for lawful personal and informational purposes.
Unauthorized commercial copying, distribution, modification, or exploitation of protected materials is prohibited.
Receiving a digital collectible, supporter reward, Discord role, or other benefit does not transfer ownership of the underlying intellectual property.
Creative collaboration rewards involving official characters, outfits, or other original materials may require separate written agreements defining the rights necessary for their development and use.
These Terms do not grant supporters ownership or creative control over Univaens or its intellectual property.
14. INVESTOR INFORMATION
Univaens.com provides information about the company's development plans, funding objectives, business model, and potential investment opportunities.
Prospective investors may review the Investment Memorandum and submit preliminary inquiries through our dedicated investor process.
Submitting an inquiry does not constitute an investment, reserve securities, establish ownership rights, or guarantee participation in an offering.
The company's proposed investment structure may involve a Post-Money Simple Agreement for Future Equity (SAFE), subject to the applicable definitive offering documents.
Any securities offering and investment transaction must comply with relevant securities laws, investor eligibility requirements, verification procedures, and acceptance by Univaens.
Where an offering is conducted pursuant to Regulation D Rule 506(c), securities purchases are limited to appropriately verified accredited investors, subject to all other applicable requirements.
Community crowdfunding contributions and Supporter Pack rewards are entirely separate from securities transactions.
Investment rights and obligations are governed by the applicable definitive investment documents.
15. PAYMENTS, CANCELLATIONS, AND REFUNDS
Community contributions may be processed through authorized third-party payment providers, including Stripe.
Applicable prices, payment amounts, charges, and material conditions will be presented before payment.
Because contributions support an ongoing reward-based crowdfunding initiative, Univaens does not generally offer voluntary refunds solely because a supporter changes their mind.
However, this does not exclude or limit mandatory cancellation, withdrawal, refund, non-delivery, or other consumer rights under applicable law.
Refunded, reversed, or otherwise invalid payments may affect a supporter's cumulative qualifying total and associated reward eligibility.
If an accepted reward cannot be delivered as agreed, the available remedies will be determined by the applicable purchase terms and law.
Payment errors, reward fulfillment concerns, cancellations, and refund requests are governed by our Refund Policy.
Nothing in these Terms limits rights that cannot legally be waived.
16. THIRD-PARTY SERVICES
Univaens uses third-party services to support website operations, payments, community participation, data management, communications, and other functions.
These providers may include Stripe, Discord, Google Sheets, Google Apps Script, Google Fonts, Zapier, hosting providers, and email service providers.
Different providers may process information according to their own terms and privacy policies.
Univaens remains responsible for its obligations under applicable law, including obligations relating to personal information and accepted purchases.
Additional information about the processing of personal data is provided in our Privacy Policy.
17. WEBSITE AVAILABILITY AND DEVELOPMENT INFORMATION
We aim to maintain a reliable, secure, and accessible website.
Temporary interruptions, maintenance, technical difficulties, or changes to website functionality may occur.
Univaens may improve existing services, introduce features, update content, or modify planned development activities as the company evolves.
Information about future products, fundraising objectives, estimated release schedules, and commercial plans reflects our current intentions and may change.
Such changes do not automatically eliminate obligations associated with accepted purchases or rights protected under applicable law.
18. LIMITATION OF LIABILITY
Univaens makes reasonable efforts to provide accurate information and maintain reliable website services.
To the extent permitted by applicable law, Univaens is not liable for losses arising solely from unlawful misuse of the website, unauthorized activities of independent third parties, or circumstances outside our reasonable control.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including mandatory consumer remedies and obligations associated with accepted purchases.
19. PRIVACY AND PERSONAL INFORMATION
Personal information collected through Univaens.com is processed in accordance with our Privacy Policy.
This may include information associated with contributions, payment verification, cumulative reward eligibility, Discord benefits, referral claims, newsletter subscriptions, investor inquiries, and creative collaborations.
Supporter purchases and referral submissions do not automatically constitute consent to unrelated marketing communications.
Individuals may contact Univaens regarding applicable privacy rights using the contact information provided below.
20. UPDATES TO THESE TERMS
We may update these Terms to reflect changes in our website, supporter programs, business operations, legal obligations, or future platform services.
The effective date will be updated when a revised version is published.
Changes will not retroactively eliminate accepted reward commitments or mandatory rights associated with completed transactions.
Where required by applicable law, material changes will be communicated through an appropriate notice or consent process.
21. GOVERNING LAW
To the extent permitted by applicable law, these Terms are governed by the laws of the State of Delaware, United States.
This provision does not override mandatory consumer protection rights applicable in a customer's jurisdiction or other legal requirements that cannot be excluded by contract.
